Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Gnosis IQ website and platform (the “Service”). By using the Service, you agree to these Terms. Where a school or district has signed a separate written agreement with us, that agreement governs the Service for its users and controls if it conflicts with these Terms.

The service

Gnosis IQ provides software that combines student emotion indicators and academic data to help educators understand and support student outcomes. We may add, change, or remove features over time as we improve the Service.

Accounts and access

Access is typically provisioned by your school or district. You are responsible for keeping your login credentials confidential and for activity that occurs under your account. Let us or your administrator know promptly if you believe your account has been used without authorization.

Customer data and education records

School and district customers own the data they provide, including student education records. Gnosis IQ processes that data on their behalf to provide the Service, as described in our Privacy Policy and consistent with our FERPA commitments.

Acceptable use

When using the Service, you agree not to:

• Use it in violation of any applicable law or the rights of others.
• Attempt to access accounts, data, or systems you are not authorized to access.
• Interfere with, disrupt, or place undue load on the Service or its infrastructure.
• Reverse engineer, copy, or resell the Service except as permitted by law or your agreement.
• Upload malicious code or use the Service to store or transmit unlawful content.

Intellectual property

The Service, including its software, design, and content, is owned by Gnosis IQ and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect. You retain all rights to the data you provide.

Third-party integrations

The Service can connect to third-party systems such as student information systems and single sign-on providers. Your use of those systems is governed by their own terms, and we are not responsible for third-party services or their availability.

Availability and changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted access and may perform maintenance or updates from time to time. We may also modify or discontinue features, and we will give reasonable notice of material changes where practical.

Disclaimers

The Service provides insights and predictions to support — not replace — professional judgment. It is provided on an “as is” and “as available” basis without warranties of any kind, to the fullest extent permitted by law. Decisions affecting students remain the responsibility of qualified educators and administrators.

Limitation of liability

To the fullest extent permitted by law, Gnosis IQ will not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.

Termination

You may stop using the Service at any time. We may suspend or end access if these Terms or an applicable agreement are violated, or as needed to protect the Service or its users. On termination, we handle any customer data in accordance with the applicable agreement and our Privacy Policy.

Changes to these terms

We may update these Terms from time to time. When we do, we will post the revised version here and update the date above. Continued use of the Service after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules, except where a customer agreement specifies otherwise.
